Musictool — Terms of Service

Welcome to Musictool (“Musictool”, “we”, “us”, or “our”), operating under the laws of the People’s Republic of China. These Terms of Service (“Terms”) govern your access to and use of our AI-powered music tools, including browser-local BPM and key detection, chord progression generation, royalty estimation, tap tempo, independent speed and pitch adjustment, and optional AI-assisted features, available at https://musictool.tools (the “Service”).

By creating an account, subscribing to any plan, using credits, or otherwise using the Service, you confirm that you: (a) are at least 18 years of age; (b) have read, understood, and agree to be bound by these Terms; (c) agree to our Privacy Policy; and (d) are authorized to enter into this agreement on behalf of yourself or any organization you represent.

If you do not agree to these Terms, stop using the Service. Continued use after an update means you accept the revised Terms.

2.1 What we provide. Musictool is an internet-delivered software-as-a-service (SaaS) platform that lets you run music-production tools in the browser. Core analysis tools process audio on your device. Optional AI features may call third-party models.

2.2 Nature of the Service. The Service is a digital, intangible product. Access is enabled as soon as payment is confirmed. Because delivery is immediate, refunds are limited as described in Section 7.

2.3 Third-party AI models. Some features use third-party AI model providers, including Google. Performance and availability may depend on those providers. We will notify users of material outages when we become aware of them.

3.1 Creating an account. You must create an account with accurate, complete information. You are responsible for keeping your login credentials confidential and for all activity under your account.

• Contact support@musictool.tools immediately if you discover unauthorized use.
• Do not share login credentials with any third party.
• Keep your billing email address current.

3.3 Organization accounts. If you register on behalf of a company or organization, you represent that you are authorized to bind that entity.

We provide access through a Free plan and a monthly Pro subscription. The Free plan includes a one-time sign-up credit grant. The Pro plan automatically renews each month and resets your credit allowance at the start of each billing cycle. Unused plan credits do not roll over. We do not sell standalone credit packs. We may change plan features or introduce new plans. Price changes follow Section 5.1.

5.1 Recurring billing authorization. When you provide a payment method and subscribe to a paid plan, you expressly authorize Musictool to charge that payment method the applicable subscription fee on each billing cycle. This authorization remains in effect until you cancel under Section 6.

Your subscription renews automatically at the end of each billing cycle unless you cancel. We currently offer a monthly Pro plan. If we later offer an annual plan, we will send a renewal reminder before charging.

5.2 Taxes. Prices are exclusive of applicable taxes (including VAT, GST, and sales tax) unless stated otherwise. We will collect and remit taxes when required by law.

6.1 How to cancel. You may cancel at any time by either:

• Online (recommended): Account settings → Manage Subscription → cancel in the Waffo customer portal
• Email: send a cancellation request from your registered email to support@musictool.tools

Cancellation takes effect immediately for future renewals. We will send a confirmation email within 10 minutes.

• Access remains until the end of the current billing period.
• You will not be charged for later billing cycles.
• Account data is kept for 90 days after cancellation, then deleted under the Privacy Policy.

7.1 General rule. Because the Service is digitally delivered as soon as payment is confirmed, subscription fees are not refundable except as set out below.

• New-subscriber 7-day guarantee: first-time subscribers may request a full refund within 7 days of the first charge if usage has not exceeded 20% of the plan allowance.
• Duplicate charges caused by a billing error are refunded in full.
• Verified outages longer than 72 hours that are our fault: pro-rata refund or service extension.
• Statutory rights (including any EU/UK 14-day cooling-off right) are preserved where they apply.

7.3 How to request a refund. Email support@musictool.tools with your account email, transaction ID, and reason. We confirm within 2 business days and process eligible refunds in 5–10 business days to the original payment method.

• Used subscription periods, except as listed in Section 7.2.
• Refund requests for an annual plan more than 30 days after first purchase (if we offer annual billing).
• Accounts closed for violating these Terms or the acceptable use policy.

If you believe a charge is wrong, email support@musictool.tools and contact us before opening a dispute with your bank. We reply within 2 business days and resolve confirmed billing errors within 5 business days.

9.1 Output. Subject to these Terms, AI content generated from your input (“Output”) belongs to you. You may use Output for any lawful purpose allowed by Section 10.

9.2 Input license. By submitting content (“Input”), you grant Musictool a limited, non-exclusive license to use that Input solely to provide the Service to you. We do not use your Input to train AI models without your explicit consent.

9.3 Third-party models. The Service uses third-party AI model providers, including Google. Output may be affected by those models. We do not warrant a particular quality of Output and are not responsible for content generated by third-party models.

9.4 Accuracy. AI-generated content may be wrong or incomplete. You are responsible for reviewing and verifying Output before relying on it.

10.1 Permitted use. Use the Service only for lawful purposes consistent with these Terms, including personal productivity, business automation, and research.

10.2 Prohibited use. You agree not to use the Service to:

• Generate illegal, defamatory, harassing, or fraudulent content.
• Create, distribute, or assist deepfakes — including AI-synthesized audio, video, or images that impersonate a real person or mislead viewers about origin or authenticity.
• Generate sexualized content involving minors or content that violates child-protection laws.
• Create malware, phishing content, or tools for cyber attacks.
• Infringe any third party’s intellectual property or privacy rights.
• Bypass or interfere with security features of the Service.
• Resell or sublicense access without prior written approval.
• Violate applicable law, regulation, or card-network rules.

10.3 AI-specific prohibitions. You also agree not to:

• Use Input, Output, model responses, or any derivative data to train, fine-tune, benchmark, distill, or otherwise develop an AI or machine-learning model that competes with the Service or Musictool.
• Systematically scrape, extract, or harvest model output at scale for any purpose beyond your own authorized use.
• Present AI-generated content as the work of a licensed professional (such as a doctor, lawyer, or financial adviser) in a context that could cause harm.

Your use of the Service is subject to our Privacy Policy. Payment card data is handled exclusively by our PCI-DSS compliant payment processor (Waffo Pancake) and is not stored on our servers. Account data is retained for 90 days after cancellation, then deleted.

12.1 Disclaimer. The Service is provided “as is” and “as available”, without warranties of any kind, including merchantability, fitness for a particular purpose, or accuracy of AI output.

AI output may be inaccurate, incomplete, or out of date. Do not use it as legal, medical, financial, or other professional advice. Verify with a qualified professional before acting on AI content.

12.3 Limitation. To the maximum extent permitted by law, Musictool is not liable for any indirect, incidental, consequential, or punitive damages. Our total liability is limited to the amount you paid us in the 12 months before the claim.

These Terms apply while you use the Service. We may suspend or terminate your account for a material breach, suspected fraud, or legal requirement. If we terminate for a reason other than your breach, we will refund unused prepaid amounts pro rata. You may delete your account at any time by contacting support@musictool.tools.

These Terms are governed by the laws of the People’s Republic of China. Before starting formal proceedings, email support@musictool.tools and try to resolve the matter informally.

We may update these Terms at any time. Material changes will be emailed at least 14 days before they take effect. Continued use means acceptance. If any provision is held invalid, the remaining provisions stay in full force. These Terms and the Privacy Policy are the entire agreement between you and us.
